Section A: General Terms

1. How This Agreement Works

This agreement is a contract between you and XPerf Inc. It covers your use of our AI bookkeeping and accounting platform and related services. When you create an account, use our service, or pay for our service, you agree to follow all the rules in this agreement.

This agreement incorporates by reference our Terms of Service, Privacy Policy, Pricing Schedule, and any other policies we publish. If there are any conflicts, this agreement will control for the specific services covered here.

XPerf provides cloud-based artificial intelligence software that helps businesses manage their bookkeeping and accounting. Our platform can process receipts, generate invoices, track expenses, and create financial reports. You must be at least 18 years old to use our service.

2. Our Service and Your Rights

We provide an AI-powered bookkeeping and accounting platform that runs in the cloud. When you pay for our service, we give you the right to use it for your business needs. You can let your employees and contractors use it too, as long as they follow this agreement. You do not own our software or technology — we are only giving you permission to use them.

3. Fees and Payment

We charge fees according to our Pricing Schedule (Exhibit 1). Our fees are based on the subscription plan selected and applicable usage limits, including the number of Teams, Businesses, and Users, as set forth in the Pricing Schedule. Ledgeron does not charge based on transaction volume, storage usage, or feature access.

We may update pricing with at least 30 days advance notice. If you do not agree, you may cancel before the changes become effective. All fees are exclusive of applicable taxes.

4. Your Data

You own all the data you put into our service. We will only use your data to provide our service to you. We may use your data in anonymous form to improve our service for everyone. After you stop using our service, you can download your data for up to 360 days.

5. AI Features Disclaimer

Our artificial intelligence technology may sometimes make mistakes. You should review all automated categorizations and reports. The Service does not provide professional accounting, auditing, tax, legal, or investment advice.

6. Limitation of Liability

If something goes wrong, the most we will pay you is the greater of (a) the amount you paid us in the twelve (12) months before the problem happened, or (b) five hundred dollars ($500). For Enterprise Plan users, our liability is capped at the total fees paid during the preceding twelve (12) months.

7. Dispute Resolution

This agreement is governed by Texas law. Disputes will be resolved by binding arbitration in Austin, Texas using the American Arbitration Association's rules, after a 60-day good faith negotiation period.

Section B: Service Details

1. AI Bookkeeping and Accounting Features

• Receipt processing: Read receipts and extract vendor names, amounts, dates, and payment methods
• Expense tracking: Monitor business spending across categories and payment methods
• Bank reconciliation: Automated matching of bank transactions with recorded expenses, invoices, and receipts
• Invoice generation: Create invoices automatically, track status, record payments, and send reminders
• Reimbursement submissions: Allow employees or contractors to submit expenses for review and approval
• AI chatbot: Answer accounting and financial questions in plain English
• Financial reports: P&L, Balance Sheet, Cash Flow, AR/AP Aging, and Revenue Charts

2. Connecting and Exporting Data

• Bank connections: Secure connections through Plaid for automatic transaction import
• Payment processors: Integration with Stripe for income tracking
• Data export: Export in Excel, CSV, and PDF formats with scheduling options
• Third-party integrations: QuickBooks and Xero (coming soon)

3. Compliance Features

Our platform includes features to help you comply with financial regulations and accounting standards, but you are ultimately responsible for compliance. We keep detailed audit trails and provide expense categorization for tax preparation.

Exhibit 1: Pricing Schedule

This Pricing Schedule is incorporated into and made part of the Service Agreement. It governs subscription fees, usage limits, billing mechanics, and plan changes for the Ledgeron service.

Pricing Model Principles

• Uniform Features: All paid plans include identical access to all features. There is no feature-based gating.
• Scale-Based Differentiation: Plans differ solely based on permitted usage limits (Teams, Businesses, Users).
• Hard Limit Enforcement: When limits are reached, the relevant action is blocked until you upgrade or purchase an add-on. No automatic overage billing occurs.

Free Trial

Each new user is eligible for a thirty (30) day free trial. No payment method is required. At the conclusion of the trial, you must subscribe to a paid plan to continue using the Service. Accounts that do not select a paid plan may be restricted until billing is activated.

Subscription Plans

Annual Billing Discount

Annual pricing reflects a 25% discount (Annual Price = Monthly Price × 9). Annual subscriptions are billed upfront.

30-Day Money-Back Guarantee

Your first paid subscription charge is eligible for a full refund if requested within thirty (30) calendar days of the charge date. After this window, and for any subsequent renewals, payments are non-refundable unless required by applicable law.

Add-Ons

Users may purchase add-ons to increase usage limits (additional Teams, Businesses, or Users). Add-ons are never applied automatically and must be explicitly confirmed. Add-ons are billed monthly and are non-refundable.

Plan Changes

• Upgrades: Take effect immediately with prorated charges.
• Downgrades: Take effect at the start of the next billing cycle. Refunds are available only under the 30-day money-back guarantee above.

Company reserves the right to modify Subscription Plans or pricing upon at least thirty (30) days' prior notice. Existing annual subscriptions will remain in effect through the end of the prepaid term.
